Welcome to Novatra Reverse. These Terms of Service ("Terms") govern your access to and use of the Novatra Reverse platform and services ("Services") provided by Talent Reform Consulting Sdn. Bhd. (Registration No: 202401034083 (1579931-K)), a company incorporated in Malaysia ("Company", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Definitions

  • "Platform" refers to the Novatra Reverse web application and related services.
  • "Restaurant User" or "Business User" refers to restaurant owners, managers, or staff who use our platform to manage reservations.
  • "Customer" or "End User" refers to individuals who make reservations at restaurants using our platform or WhatsApp integration.
  • "WhatsApp Business API" refers to the messaging service provided by Meta Platforms, Inc. that we integrate with on behalf of Restaurant Users.

2. Description of Services

Novatra Reverse is a Software-as-a-Service (SaaS) platform that provides:

  • Restaurant reservation management system with real-time table availability
  • WhatsApp Business API integration for automated booking via WhatsApp messaging
  • AI-powered chatbot for handling customer inquiries and reservations
  • Table and dining session management tools
  • Menu management and display capabilities
  • Analytics and reporting on reservation patterns
  • Customer communication tools including reminders and confirmations

As a Meta Tech Provider, we manage WhatsApp Business API integrations on behalf of our Restaurant Users, enabling them to receive and respond to customer reservations through WhatsApp.

3. Eligibility

To use our Services as a Restaurant User, you must:

  • Be at least 18 years of age
  • Have the legal authority to bind your business to these Terms
  • Operate a legitimate food and beverage establishment
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations in your jurisdiction

4. Account Registration

When you create an account with us, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

5. WhatsApp Business Integration

Our platform integrates with the WhatsApp Business API provided by Meta Platforms, Inc. By using this integration, you acknowledge and agree that:

  • You must comply with WhatsApp Business Policy and Commerce Policy
  • We act as a Tech Provider managing WhatsApp Business API on your behalf
  • You are responsible for obtaining necessary consents from customers before sending messages
  • WhatsApp messaging is subject to Meta's pricing and rate limits
  • We are not liable for any service interruptions or changes to WhatsApp's API
  • Message templates must be approved by Meta before use

6. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Send spam, unsolicited messages, or promotional content without consent
  • Harass, abuse, or harm other users or customers
  • Impersonate any person or entity
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of our Services
  • Collect user data without proper authorization
  • Use the platform for any illegal or fraudulent activity

7. Payment Terms

For paid subscription plans:

  • Fees are billed in advance on a monthly or annual basis as selected
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of Services
  • You are responsible for any applicable taxes

WhatsApp messaging costs are billed separately based on Meta's conversation-based pricing model.

8. Intellectual Property

The Novatra Reverse platform, including its design, features, and content, is owned by Talent Reform Consulting Sdn. Bhd. and protected by intellectual property laws. You retain ownership of your data and content uploaded to the platform.

By using our Services, you grant us a limited license to use your content solely for the purpose of providing the Services. We do not claim ownership of your restaurant information, menu data, or customer data.

9. Data Protection

We are committed to protecting your data and your customers' data in accordance with the Personal Data Protection Act 2010 (PDPA) of Malaysia. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect personal data.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for any third-party services, including WhatsApp Business API.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALENT REFORM CONSULTING SDN. BHD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Talent Reform Consulting Sdn. Bhd., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement:

  • You may cancel your account at any time through the platform settings or by contacting us
  • We may suspend or terminate your access for violation of these Terms
  • We may terminate with 30 days' notice for any reason

Upon termination, your right to use the Services will cease immediately. We will retain your data for a reasonable period as described in our Privacy Policy.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
